6. Intellectual Property Rights

- Custom AI solutions developed specifically for you become your property upon full payment
- We retain ownership of underlying frameworks, tools, and methodologies
- We may reuse general concepts and approaches in other projects
6.3 BagatrixAI Property
All intellectual property rights in our website, brand, proprietary tools, and pre-existing technologies remain our exclusive property.

7. Client Responsibilities
As a client, you agree to:
- Provide timely access to necessary data, systems, and resources
- Respond to requests for information and feedback within reasonable timeframes
- Ensure you have the right to share any data or content provided to us

- Use our services only for lawful purposes

8. Confidentiality

9. Warranties and Disclaimers

9.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee:
- Specific business outcomes or results
- Uninterrupted or error-free operation of AI solutions
- Compatibility with all third-party systems
- That AI solutions will meet all your requirements
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE)
11. Indemnification
You agree to indemnify, defend, and hold harmless BagatrixAI and its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Any data or content you provide to us
12. Term and Termination
12.1 Term
These Terms remain in effect for as long as you use our website or services.
12.2 Termination by You
You may terminate ongoing services by providing written notice as specified in your service agreement, typically 30 days in advance.
12.3 Termination by Us
We may terminate or suspend services immediately if:

- Continuing the relationship poses legal or security risks

- All outstanding payments become immediately due

- Provisions regarding confidentiality, intellectual property, and liability survive termination
13. AI and Machine Learning Specific Terms
13.1 AI Model Performance
AI and machine learning systems are inherently probabilistic and may produce unexpected results. We do not guarantee:
- 100% accuracy of AI outputs
- Consistent performance across all use cases
- Immunity from bias or errors in AI predictions
13.2 Training Data
You are responsible for ensuring that any training data you provide:
- Is legally obtained and properly licensed
- Does not violate any privacy laws or third-party rights
- Is sufficiently representative for the intended use case
13.3 Human Oversight
We recommend maintaining appropriate human oversight of AI systems, especially for critical business decisions.
14. Third-Party Services
Our services may integrate with or utilize third-party APIs, platforms, or services (e.g., OpenAI, cloud hosting providers). Your use of such services is subject to their respective terms and conditions. We are not responsible for the availability, performance, or policies of third-party services.

Continued use of our services after such modifications constitutes acceptance of the updated Terms.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, terrorism, internet outages, or third-party service failures.

The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.
